Realtor conduct & non-circumvention agreement
Version 2026-10-14b-borrador · Draft — subject to final legal review. When the final version is published you will be asked to accept it again.
In short
- Everyone you meet through ValAI stays with ValAI. Owners, sellers, developers and buyers whose contact you got through ValAI (unlock, match, lead, inquiry, showing) are worked through ValAI for 12 months from that contact.
- No deals behind our back. You will not close, or help close, a deal with those people outside ValAI to avoid ValAI's fees, and you will not use other means to reach owners of properties listed on ValAI to skip an unlock.
- You report your closings. If a property or client you got through ValAI closes, you record it in ValAI (Panel Cierres) within 10 days.
- Sales are public. Every sale is recorded in the Public Property Registry (INSEJUPY in Yucatán, IRCNL in Nuevo León) with seller, buyer, date and notary. ValAI keeps a dated record of every contact made on the platform and can compare both.
- Breaking this has consequences: a contractual penalty, permanent removal from ValAI, and loss of your rating and history.
1. Parties and purpose
This agreement is between ValAI (the platform) and you, the real-estate agent who registers on valeria.valai.mx. ValAI is an advertising and information service; it is not a real-estate brokerage, does not take part in your negotiations and charges no commission on your transactions. Your fees to ValAI are for access to information and tools.
2. Your license and conduct
You keep your license (e.g. INSEJUPY in Yucatán) valid, give truthful information about yourself and the properties, respect the owner's choice of agent (the owner's PIN / in-app choice) and comply with the law that applies to you, including anti-money-laundering obligations (LFPIORPI) and personal-data law (LFPDPPP).
3. Use of personal data
Contact details you receive through ValAI may be used only for the property or project for which you received them. You may not resell, share or publish them, or add them to lists for purposes unrelated to that property.
4. Non-circumvention
For 12 months from the moment you obtain a person's contact through ValAI, any transaction with that person about that property or project (or any other property that person lists on ValAI) is carried out through ValAI and recorded there. You will not, directly or through third parties, close or prepare such a transaction outside ValAI in order to avoid ValAI's fees, nor contact owners of properties listed on ValAI through other channels in order to skip the unlock.
5. Representation lock
When an owner chooses you and you accept, you are that owner's agent on ValAI for 90 days. The owner may end it early; the rules for credits in that case are those published by ValAI at the time.
5 bis. Originating agent
If you register a client's property on ValAI and the client confirms you represent them, you are its originating agent. The client may change agent at any time. If the property closes with a different agent within 12 months of that change, that agent owes you 25% of their commission for that deal. Every agent must accept this credit on ValAI before taking such a property. ValAI records and reports it but does not collect or handle that payment. A credit is cancelled if the originating agent was removed for misconduct. Percentage and term are provisional until confirmed by ValAI.
5 ter. Shared listing pool
If you share a listing in the pool, you publish the commission and the part of it you give the buyer's agent. When another agent registers a buyer for that property and the buyer confirms by email, that buyer is protected for the published term. If that buyer buys the property within the term, you pay the buyer's agent the published share, as it stood on the day of registration. You will not deal with that buyer directly to avoid the split. When you register a buyer, you register only real clients who confirm you advise them.
5 quáter. Developments open to agents
When you register a buyer for a development and the buyer confirms by email, the developer sees that the buyer comes with you, for the term and commission the developer published. If the buyer had already contacted the developer directly, the registration does not apply. The commission is agreed and paid between you and the developer.
ValAI records these registrations and reports them, but does not collect or handle any commission.
6. Reporting closings
You record in ValAI (Panel Cierres) every closing of a property or client you obtained through ValAI, within 10 calendar days of signing before the notary.
7. Verification
You acknowledge that sales are registered in the Public Property Registry and that ValAI keeps a dated, tamper-evident record of every contact, unlock, match, message and appointment on the platform. ValAI may consult public records, listings on other portals and the information provided by owners to verify compliance.
8. Breach
If you breach sections 3, 4 or 6, ValAI may: (a) suspend or permanently remove your account; (b) publish the removal on your profile; (c) charge a contractual penalty (pena convencional) whose amount is set in the final version of this agreement; and (d) when the conduct may violate the law, inform the competent authority.
9. Acceptance
You accept this agreement electronically. ValAI records the version, date, time, IP address and device of your acceptance in its tamper-evident ledger.
